Item 8.01. Other Events.
On June 25, 2015, we announced that our Board of Directors has approved a program to repurchase up to $50.0 million of our outstanding shares of common stock from time to time until June 23, 2017. The amount and timing of any repurchases will depend on a number of factors, including price, trading volume, general market conditions, legal requirements, and other factors. The repurchases may be made on the open market, in block trades, or in privately negotiated transactions. Any shares of common stock repurchased under the program will be considered issued but not outstanding shares of our common stock. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference to this Item 8.01.

$50 Million Stock Repurchase Plan
SPRINGFIELD, Mass., June 25, 2015 Smith & Wesson Holding Corporation (NASDAQ Global Select Market: SWHC), a leader in firearm manufacturing and design, today announced that its Board of Directors has authorized the repurchase of up to $50 million of the companys common stock from time to time until June 23, 2017.
